Foreign parties wishing to do business in Indonesia should consider how to structure their in-country presence. To the extent open to foreigners, a limited liability company (“PT Company”) can virtually work with all types of business. However, with certain business areas, a maximum ownership by foreigners in the company is set at various percentages. This means you will need a local partner.
However, at the preliminary stage, you may not need to set up a company. A representative office may serve your preliminary activities such as marketing and promotion and market/business information gathering. By default, a representative office is prohibited from selling your products or services. The only exception is “public work representative office”, i.e. the one set up to carry out construction services related to Public Work Ministry projects.
